Terms of Service

1. Acceptance of Terms & EULA
By accessing and using the DIMRP platform and hardware, you agree to be bound by these Terms of Service. By implementing our microservices, the enterprise Client accepts that DIMRP software is licensed, not sold.
A limited, non-exclusive, and revocable license is granted strictly for internal Occupational Health and Safety (OHS) operations.
2. Pilot Phases and Beta Programs
For testing environments of new solutions (e.g., AlentoCare), the "As-Is" supply regime applies (in the state in which it is found), with no implied warranties of stability during these validation phases.
3. Billing and Subscription Terms (SaaS & HaaS)
3.1. Subscription Model and Renewal
Access to the platforms is provided under a SaaS model, billed in advance. Subscriptions are automatically renewed to ensure operational continuity. Cancellation requires a 30-day prior written notice. All payments made are final, with no right to pro-rata refunds.
3.2. Suspension for Breach
Failure to pay gives DIMRP the right to immediately suspend the service after 5 business days of notice. DIMRP declines any legal or civil liability for occupational accidents that occur during this suspension period (Blackout).
4. Hardware Ownership (Strict HaaS)
All hardware devices provided by DIMRP (including Helmet Units, Wrist Units, and Beacons) remain the exclusive, inalienable property of DIMRP under all circumstances. DIMRP does not sell hardware. Devices are provided strictly under a temporary Right to Use (License) or Bailment (Comodato) regime.
- Prohibitions: To protect industrial secrets, the Client is strictly prohibited from opening, dismantling, reverse engineering, or transferring the device to third parties.
- Mandatory Return: The Client has 14 business days after the contract terminates to return all equipment. Damages, improper retention, or any attempt at firmware tampering will result in automatic billing of indemnities.
Security Cashback Incentive: DIMRP offers a cashback percentage upon return, provided the devices are received in good physical condition (untampered). Returned devices are sent to a specialized center for security analysis and recycling.
5. Commercial Service Level Agreement (SLA)
5.1. Uptime Guarantee and Exclusions
DIMRP guarantees a monthly Uptime Objective of 99.5%. Excluded from this calculation are scheduled/emergency maintenance windows, force majeure failures, and unavailability generated by failures in the Client's infrastructure (e.g., local connectivity).
5.2. Incident Response and Compensations
The initial response time for critical failures (Level 1) is 4 business hours. If the Uptime Objective fails, the only applicable compensation will be a Service Credit deductible on the following invoice, limited to 5% of the monthly fee, upon formal request within 10 days.
6. Maintenance and Warranty
DIMRP commits to keeping device firmware updated and functional.
Coverage: Maintenance, repair, replacement, and firmware update costs will be fully covered by DIMRP if failure is due to manufacturing defect or natural wear.
Exclusions: Physical damage, tampering, or usage outside environmental specifications will void this coverage.
7. Service Limits & Fair Use Policy
Plans designated as "Unlimited" are subject to Fair Use to prevent abuse. DIMRP reserves the right to limit service if usage significantly exceeds average enterprise patterns or causes performance degradation.
8. Limitation of Liability
DIMRP IS AN ASSISTANCE TOOL. IT DOES NOT REPLACE PROFESSIONAL SAFETY EQUIPMENT, PPE, OR HUMAN SUPERVISION.
DIMRP is not liable for indirect, incidental, or consequential damages. The service does not guarantee 100% detection of every safety incident due to inherent technical limitations.
9. Governing Law
These Terms shall be governed by the laws of Portugal (EU) and Brazil, depending on the Client's jurisdiction.
